1. Acceptance of Terms

By accessing or using Flowyte ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. We reserve the right to modify these terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Flowyte provides AI-powered voice agent services including but not limited to: automated call handling, voice response systems, intelligent call routing, and related telephony services. The Service is provided on a usage-based pricing model as described on our pricing page.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Make fraudulent, harassing, or unwanted calls
  • Impersonate any person or entity
  • Transmit any harmful, offensive, or illegal content
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any systems
  • Use the Service for any illegal telemarketing activities
  • Violate TCPA, GDPR, or other applicable privacy regulations
  • Generate, encourage, or benefit from artificially inflated traffic, traffic pumping, access stimulation, or similar abusive calling patterns

Toll-Free Usage

Inbound calls to toll-free numbers are billed at your plan's per-minute voice rate plus a flat $0.02 (2 credits) per minute on all plans. Toll-free traffic is billed on a called-party-pays basis. In the uncommon event that an originating carrier's access charge, international toll-free origination, or payphone surcharge exceeds the standard $0.02 per minute surcharge, the excess is passed through to you at cost. We may apply reasonable usage limits to toll-free traffic to protect against artificially inflated traffic, traffic pumping, and other abuse.

5. Payment Terms

The Service is billed on a usage-based model. You agree to pay all fees associated with your use of the Service as described on our pricing page. Fees are charged monthly in arrears based on actual usage. All fees are non-refundable except as required by law. We reserve the right to change our pricing with 30 days notice.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Flowyte and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of any content you create using the Service, including agents, knowledge bases, and configurations.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You are responsible for ensuring that your use of the Service complies with all applicable data protection laws. You must obtain appropriate consents from callers as required by law.

No AI Model Training on Customer Data

We do not use Customer Data to develop, train, retrain, fine-tune, or improve generalized artificial intelligence, machine learning, large language model, or similar systems. Customer Data includes data you or your end users provide to the Service, call recordings, transcripts, messages, contacts, customer records, end-user data, and any derived or aggregated data from those sources.

We process Customer Data only to provide, secure, maintain, support, and improve the Service for your account, comply with legal obligations, and as otherwise described in these Terms and our Privacy Policy. If you configure a customer-specific agent, knowledge base, workflow, or integration using your data, that use is limited to providing the Service for your account and is not used to train generalized AI models. Where service providers process Customer Data for us, we require them to process it only to provide services to us and not to use it to train generalized AI models.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may suspend or terminate the Service for maintenance, updates, or other reasons. We will make reasonable efforts to provide advance notice of planned downtime.

9. Limitation of Liability

To the maximum extent permitted by law, Flowyte shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Flowyte and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these terms, or your violation of any rights of a third party.

11. Termination

Either party may terminate this agreement at any time. Upon termination, your right to use the Service will cease immediately. We may suspend or terminate your account if we believe you have violated these terms. Sections regarding intellectual property, limitation of liability, and indemnification shall survive termination.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Delaware.
